TYPE OF SERVICE:
Vyūha Consulting provides marketing consultancy services to clients.
CONTRACT VALIDITY:
Any contract shall be valid when signed via a legal agreement or Adobe Sign or similar e-signature platforms.
INTELLECTUAL PROPERTY RIGHTS:
Neither party will have deemed to have granted any trademark, patent, copyright, mask work or any other intellectual property right, or implied by the disclosure of Confidential Information to the other party.
Upon full payment, all marketing assets created during the term or strategy documents created for the client, belong to the client.
The client acknowledges that the service provider retains ownership of all intellectual property, templates, formats, methodologies, processes, frameworks, decks, tools, and materials developed prior to, during, or independently of the engagement.
CONFIDENTIALITY:
Both parties agree to keep all business information, trade secrets, and financial data strictly confidential during and after the term of this agreement.
Vyūha Consulting hereby agrees that it shall not disclose any Confidential Information received by it, without the prior written consent of the client having been first obtained in writing, to any third party.
DATA PRIVACY
Both parties need agree to comply with the provisions of relevant privacy laws.
PUBLICITY:
The client consents to Vyūha Consulting utilising its brand name, wordmark, design mark on its promotional material, sales material, and website.
INDEMNITY:
The service provider hereby indemnifies the client and shall keep the client indemnified in respect of all loss or damage (including, without limitation, all claims, costs, expenses, damages, losses and legal costs) arising out of or in connection with any breach by the service provider of any of its obligations or undertakings under this agreement.
The service provider shall indemnify the client only for direct losses arising from a breach of this agreement caused by service provider’s negligence or willful misconduct, and it shall not be liable for any consequential, special, punitive, or indirect damages.
GOVERNING LAW AND JURISDICTION:
The engagement will be governed by the laws of India.
Any disputes shall be subject to the exclusive jurisdiction of the courts in Mumbai, India.
FORCE MAJEURE:
Neither party shall be liable for failure to perform due to causes beyond their reasonable control.
